OdafeTech provides web development, digital marketing, IT consulting, and branding services. Each project is tailored to the specific needs of the client and is bound by the terms outlined in the project agreement and these Terms of Use.

3. Payment Terms

3.1 Initial Payment Requirement

To commence any approved project, an initial payment of 75% of the total project cost is required. This payment serves as a commitment from the client and enables us to allocate resources effectively for your project.

3.2 Final Payment

The remaining 25% balance is due immediately upon project completion. "Project completion" refers to the point where the agreed deliverables have been developed, reviewed, and handed over to the client, as stated in the project agreement.

3.3 Non-Payment or Delayed Payment

Failure to provide the final payment upon project completion may result in:

  • Suspension of services, including hosting or project deployment.
  • Legal action to recover the unpaid balance.
  • Additional fees for overdue payments, as outlined in the project agreement.

3.4 Payment Methods

OdafeTech accepts payments via bank transfer or other agreed-upon methods specified in the project agreement. All payments must be made in United States Dollar (USD) unless otherwise stated.

4. Project Timeline and Deliverables

4.1 Timeline

The project timeline is mutually agreed upon at the start of the engagement and depends on the complexity and scope of the project. Delays caused by incomplete client feedback or delayed approvals may result in adjustments to the timeline.

4.2 Deliverables

All deliverables will be provided as specified in the project agreement. OdafeTech ensures that deliverables meet the agreed-upon quality standards and project requirements.

4.3 Scope Changes

Changes to the project scope after initial approval may require additional costs and an extension of the project timeline. These changes will be documented in a revised project agreement.

5. Intellectual Property

5.1 Ownership

Upon receipt of full payment, all intellectual property rights for the project deliverables will be transferred to the client.

5.2 Usage Rights Before Final Payment

Until the project is paid in full, all rights to the deliverables remain the exclusive property of OdafeTech. Unauthorized use of deliverables before full payment is strictly prohibited.

6. Termination of Services

OdafeTech reserves the right to terminate services under the following conditions:

  • Non-payment of fees.
  • Violation of these Terms of Use.
  • Mutual agreement between both parties.

Clients may terminate the agreement by providing written notice. However, the initial payment is non-refundable.

7. Confidentiality and Privacy

OdafeTech is committed to protecting your privacy. Any information shared during the project will be kept confidential and used solely for project execution.

8. Limitation of Liability

OdafeTech will not be held liable for:

  • Losses incurred due to project delays caused by the client.
  • Errors resulting from incomplete or inaccurate information provided by the client.
  • Downtime or issues caused by third-party service providers (e.g., hosting providers).

9. Governing Law

These Terms of Use are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms will be resolved under Nigerian jurisdiction.

10. Amendments

OdafeTech reserves the right to amend these Terms of Use at any time. Updates will be communicated to clients, and continued use of our services constitutes acceptance of the updated terms.
